The following Supplemental Services Terms form a part of the Platform Subscription Agreement (the “Agreement”). Capitalized terms not defined in these Supplemental Service Terms have the same meanings given in the Agreement. These Supplemental Services Terms apply to You to the extent the applicable Supplemental Service is included in Your Order Form or used by You. In the event of any conflict between these Supplemental Terms and the Agreement, the Agreement shall prevail.
For the purposes of these Supplemental Services Terms, “Content” has the meaning set out in the Agreement and refers solely to content uploaded, transmitted, or otherwise provided by or on behalf of You. “LearnUpon Content” means any content, templates, data or other materials that are provided, made available by or behalf of LearnUpon or its third-party licensors in connection with the Supplemental Services.
For the avoidance of doubt, LearnUpon Content is excluded from the defined term “Content” under the Agreement. LearnUpon Content, as used herein, is not Your Content and nothing in the Agreement or these Supplemental Terms shall be construed as granting any rights, by license or otherwise to any LearnUpon Content, except as expressly set forth herein, including all ownership rights. LearnUpon Content is licensed, not sold, to You solely in accordance with the Agreement and this exhibit.
LEARNUPON ARTIFICIAL INTELLIGENCE TOOLS From time to time, LearnUpon may provide artificial intelligence- enabled features and tools as part of the (“AI Tools”), which may be powered by third-party service providers.
During the use of the Platform, You may submit Content to be processed by AI Tools and receive AI-generated data based on that Content (“AI Output”). As between LearnUpon and You, all AI Output is owned by You and is subject to the same terms and conditions as Content under the Agreement. LearnUpon shall not permit any third parties to use Your Content or AI Output to train their AI models. You are solely responsible for all AI Output, including its accuracy and legality. You represent and warrant that Your use of AI Tools shall not: (i) violate any applicable law or contractual obligations; (ii) be used for any bias or profiling of individuals; (iii) mislead any person that AI Output was solely human generated; or (iv) infringe the intellectual property rights of LearnUpon or any third party.
The AI Tools and any AI Output may not meet Your desired results. You must use discretion when relying on, publishing, distributing, or otherwise using any AI Output resulting from the use of the AI Tools. The AI Tools contain derivatives of machine learning generative models whose distribution is subject to restrictions. Use of AI Tools is subject to Microsoft Azure Code of Conduct and AWS Responsible AI Policy.
AI CONTENT AUTHORING LearnUpon may provide AI - assisted content authoring functionality (“AI Content Authoring”), as a Supplemental Service. AI Content Authoring is subject to the same restrictions and disclaimers as AI Tools.
LEARNUPON CONTENT FOUNDATIONS LearnUpon may offer a library of pre-built training assets, templates and materials as a paid Supplemental Service (“Content Foundations”). Content Foundations constitutes LearnUpon Content and may be accessed and used solely for internal purposes, subject to any usage limits specified at the time of purchase. You acknowledge that Content Foundations may not meet Your specific needs and may reference information that is outdated or incomplete.
EASYGENERATOR Easygenerator is a third-party content authoring tool that may be made available as a Supplemental Service. For each EasyGenerator license purchased by You, Your End User(s) with a valid password, may access the EasyGenerator Supplemental Services for the term set forth in the Order Form. The Easygenerator software, services and related technology remain third party technology which LearnUpon is not responsible for except as expressly required under the Agreement.
LEARNUPON CONTENT BY GO1 LearnUpon may make available third-party training and learning content licensed from third- party providers, including Go1 (“LearnUpon Content by Go1”), as a Supplemental Service. LearnUpon Content by Go1 constitutes LearnUpon Content and is licensed to You for internal training purposes only, during the applicable Subscription Period and subject to any usage limits specified under the Order Form.
You shall not copy, modify, distribute, sublicense or use LearnUpon Content by Go1 outside the Platform or beyond the Subscription Period. Upon termination or expiration of this Supplemental Service, You must immediately cease all use and, if requested, confirm the deletion of all LearnUpon Content by Go1 from Your systems.
DISCLAIMER AND MODIFICATION SUPPLEMENTAL SERVICES ARE PROVIDED “AS-IS”, WITH NO FURTHER WARRANTIES, AND LEARNUPON DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR SUITABILITY OF SUCH CONTENT. NOTHING IN THIS EXHIBIT CREATES ADDITIONAL INDEMNITIES OR LIABILITIES BEYOND THOSE EXPRESSLY SET OUT IN THE AGREEMENT. LEARNUPON MAY SUSPEND, MODIFY, OR DISCONTINUE ACCESS TO ANY SUPPLEMENTAL SERVICES WHERE REQUIRED FOR MAINTENANCE, LEGAL COMPLIANCE, OR WHERE DISCONTINUED BY A THIRD-PARTY PROVIDER. ACCESS MAY ALSO BE RESTRICTED AS AVAILABLE OR WHERE YOU ARE IN BREACH OF THE AGREEMENT
